These Terms of Service ("Terms") govern your use of the Zigaflow platform, website, and related services provided by Zigaflow Ltd ("Zigaflow", "we", "us", or "our"), a company registered in England and Wales (company number 03888530) with a registered office at 2A Charing Cross Road, London WC2H 0HF.

These Terms govern your use of the Zigaflow website only. If you are a subscriber to the Zigaflow platform, your use of the platform is governed by the End User Agreement, which takes precedence over these Terms in the event of any conflict. By accessing the website, you agree to be bound by these Terms.

Services

Zigaflow provides a cloud-based business management platform for small and medium-sized businesses, covering sales, operations, procurement, and finance workflows. The platform is provided as a software-as-a-service (SaaS) on a subscription basis.

We reserve the right to modify, suspend, or discontinue any part of our services at any time, with reasonable notice where possible. We will not be liable to you or any third party for any modification, suspension, or discontinuation of services.

Account registration

Browsing the Zigaflow website does not require registration. If you create an account to access the Zigaflow platform, your account is subject to the End User Agreement, not these Terms.

Acceptable use

You agree to use Zigaflow only for lawful purposes and in accordance with these Terms. You must not:

• Use the platform in any way that violates applicable laws or regulations
• Attempt to gain unauthorised access to any part of the platform or its related systems
• Introduce viruses, malware, or other harmful code
• Use the platform to send unsolicited communications
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Resell or sublicence the platform without our written consent

Subscription and payment

Subscription terms, fees, billing, and payment for the Zigaflow platform are governed by the End User Agreement and your Order Form. These Terms do not govern any commercial relationship between you and Zigaflow.

Intellectual property

All intellectual property rights in the Zigaflow platform, including software, design, content, and trade marks, are owned by Zigaflow Ltd or our licensors. These Terms do not grant you any rights in our intellectual property other than the right to use the platform as set out in these Terms.

You retain ownership of all data and content you upload to the platform. By uploading content, you grant us a limited licence to process and store that content for the purpose of providing the service.

Data and privacy

Your use of the platform is subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the processing of your data as described in our Privacy Policy.

As a data controller for your business data, you are responsible for ensuring you have appropriate lawful basis for processing personal data within the platform and for obtaining any necessary consents from your customers and contacts.

Limitation of liability

To the fullest extent permitted by law, Zigaflow shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the platform. Our total liability to you for any claim arising from these Terms or your use of the platform shall not exceed the total fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.

Termination

You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not provide refunds for unused portions of a subscription period.

We may suspend or terminate your account immediately if you breach these Terms, fail to pay subscription fees, or if we are required to do so by law. Upon termination, your right to access the platform ceases immediately.

Governing law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of England and Wales.

Changes to these terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on our website. Continued use of the platform after changes take effect constitutes acceptance of the revised Terms.
